HEADS OF TERMS
MEMORANDUM OF UNDERSTANDING FOR COLLBORATIVE WORKING
Parties
- Hartlepool United Football Club Ltd (also known as Hartlepool United), company number 00098191, Victoria Park, Clarence Road, Hartlepool, TS24 8BZ (“the Club”).
- The Hart Of Our Club 1908 is a community interest company.
Background
- The Club seek additional financial support from supporters of the Club and intend to establish a new, unified, club led mechanism whereby supporters can be encouraged to provide additional financial input over and above the standard commercial engagement by supporters of the Club. The HOOC1908 wish to support this initiative and will be set up to fundraise and donate to the club in the form of specific projects and initiatives which will be agreed by both parties.
Purpose
- The Parties wish to enter an agreement by which all can work alongside each other for the purpose of effective supporter community fundraising in support of the Club on an ongoing basis (“the Purpose”). These heads of terms set out the principal terms and conditions on which the Parties agree to enter into the Proposed Agreement.
Basis of Proposed Agreement
- Under the Proposed Agreement, the Club’s primary obligations are:
3.1 To oversee a supporter led fundraising campaign under a single ‘The Hart Of Our Club 1908’ marketing banner, acknowledging and welcoming the important involvement of fans and the wider community in the future of the Club.
3.2 To ensure the Club provides appropriate levels of support to the HOOC1908 to allow it to fulfil their obligations to the Purpose.
3.3 To actively promote the HOOC1908 initiatives through the Club’s media channels, ensuring maximum exposure.
- Under the Proposed Agreement, the HOOC1908 primary obligations are:
4.1 To be properly incorporated and constituted with a democratic governance structure.
4.2 To engage constructively and professionally with the Club to deliver its contribution to the Purpose under the HOOC1908 banner.
4.3 The initial goal of the HOOC1908 via donations from its members and regular fund raising is to financially support the club on a continuous basis. This will take the form of specific projects to not only improve the matchday experience for fans but also to augment the clubs standing in the wider community.
4.4 The progress of the HOOC1908 project will be constantly reviewed and if after consultation with its members and the club it is felt that it would be beneficial to both parties to enter into structured dialogue around possible equity involvement then this could be part of the future direction.
Costs
The HOOC1908 is responsible for its own costs in connection with the Purpose.
